In short: Atlas Owner is a free app for boat owners whose boats are managed by a charter company that uses Sail Atlas. You get access only by invitation from that company. The figures, calendar, reports and documents you see are entered by the charter company; Sail Atlas only provides the technology and does not check them. Your management agreement with the charter company stays as it is and prevails on anything about your boat, income or Owner Weeks.
1. About these terms
These Terms of Use (“Terms”) are an agreement between you and HeyAtlas.ai LLC, a New Jersey (USA) limited liability company doing business as Sail Atlas (“Sail Atlas”, “we”, “us”), 2037 Lemoine Ave, Suite 330, Fort Lee, NJ 07024, United States.
They apply to the Atlas Owner mobile app (the “App”). You accept these Terms when you first sign in. The Atlas Owner Privacy Notice explains how personal data is processed in the App.
The charter company that manages your boat (the “charter company”) uses the Atlas Platform under its own agreement with us. That agreement does not give you rights or obligations towards Sail Atlas; these Terms do.
2. Access by invitation
- The App is invite-only. Your charter company sets up your access, and you sign in with the email address and password provided through that process. There is no public sign-up.
- You must be at least 18 years old and be the owner of the boat, or a person the owner has authorised (for example a director of the company that owns the boat or a co-owner).
- If the charter company manages boats for you under more than one company account, you can switch between them in the App. Each company sees and controls only its own records.
- The charter company decides which boats you can see and can change or end your access at any time.
3. Your account and security
Keep your password confidential and do not share your login. The App shows financial and commercial information about your boat, so use a device lock and sign out on shared devices. Tell your charter company and us at info@sailatlas.app at once if you think someone else has used your account. You are responsible for activity in your account unless it was caused by our failure or by someone else without fault on your side.
4. Fees
The App is free for owners. There are no in-app purchases or subscriptions, and the App does not take payments. Sail Atlas does not charge you anything for using it. The charter company pays for its own use of the Atlas Platform under its agreement with us. Whether the charter company passes any cost on to you is a matter for your management agreement.
5. Sail Atlas and your charter company
- Sail Atlas is a technology provider. We provide the software that lets the charter company share information with you. We are not a party to your management, charter-management, agency or similar agreement with the charter company (your “management agreement”), and we are not a party to any booking, payment or settlement between you, the charter company and its guests.
- Your management agreement is not affected. These Terms do not change your management agreement. Your rights to income, owner use of the boat, maintenance, expenses, accounts and termination are governed by that agreement. If something in the App differs from your management agreement or from the statements the charter company issues to you, the management agreement and those statements prevail.
- Information comes from the charter company. The figures, bookings, calendar, documents, guides and maintenance records in the App are entered and controlled by the charter company. For this information, the charter company is the data controller and Sail Atlas processes it on the company’s behalf.
- We do not vet charter companies. We do not check their licences, insurance, accounts or financial standing, and we do not guarantee their performance or payments to you.
Questions or disputes about your boat, income, payments, expenses or bookings are between you and the charter company. Please contact the charter company first.
6. Financial figures, reports and documents
The App can show your season income, balance, bookings, payments, expenses, account statement and season comparisons, and lets you export reports as PDF or Excel. Please note:
- The charter company enters these figures. Sail Atlas is not responsible for the accuracy or completeness of financial figures, tax amounts or statements the charter company enters or calculates. Totals are calculated from the company’s records; where currency is not shown, check it with the company.
- Not advice or official records. The App and its exports are information tools. They are not accounting, tax, legal or investment advice and are not official invoices or tax documents, unless the charter company states otherwise in a document it issues to you.
- Check before you rely on them. Before you make a financial, tax or legal decision, check the figures against the statements and invoices the charter company issues and, where needed, with your own advisers.
- Documents. Boat documents, expiry dates and maintenance history are uploaded and kept up to date by the charter company. Expiry indicators are a convenience only; keeping registration, insurance and other documents valid remains a matter for you and the charter company under your management agreement.
7. Calendar and Owner Week
- The calendar shows availability only. It does not show guests’ details or prices.
- Where your charter company allows it, you can reserve available nights for your own use (an “Owner Week”). When you confirm, the App creates the reservation directly in the charter company’s calendar and shows you its booking number.
- Owner Weeks are subject to your management agreement, for example limits on the number of weeks, notice periods, peak-season rules and costs. The App does not check these rules.
- You cannot change or cancel an Owner Week in the App. Contact the charter company to do so.
- If the App reports an error while you create an Owner Week, the reservation may still have been made. Check the calendar before you try again.
8. Use of the information you see
The App gives you access to information about your boat and its business with the charter company. Use it only to follow your boat and your relationship with the charter company. Treat it as confidential where your management agreement requires this, and do not publish or share information about guests, bookings or the charter company’s business beyond what you need, for example with your own advisers. If you see information that does not relate to you, tell the charter company and do not use it.
9. Acceptable use
You must not:
- share your login, or let anyone use the App who is not authorised by the owner;
- try to access boats, companies or data you have not been given access to;
- upload malware, bypass our security or access controls, or reverse engineer the App except where the law allows;
- copy or collect data from the App in bulk by automated means;
- use the App to break the law or other people’s rights;
- interfere with the App or with other people’s use of it.
10. Your content and our App
The App mainly shows information from the charter company. What you add yourself, such as Owner Week reservations, stays yours where it is your content. You give Sail Atlas a non-exclusive, worldwide, royalty-free licence to store, process and transmit it only as needed to operate the App, including passing it to the charter company. Information you send to the charter company becomes part of its records under its own retention rules. We do not sell your data or use it for advertising.
The App, its software and design, and the names and logos Sail Atlas, Atlas and Atlas Owner belong to us or our licensors. Content provided by the charter company belongs to it or its licensors. We give you a personal, non-exclusive, non-transferable and revocable licence to use the App for its intended purpose under these Terms.
11. Third-party services and links
The App works with services of other companies, such as Apple and Google, and may open documents or links in other apps. We do not control them; their own terms apply. Content from the charter company is its responsibility.
12. Availability and changes to the App
We cannot promise that the App will always be available or free of errors. We may change, add or remove features for valid reasons, such as security, legal requirements, technical changes or product improvement. If a change materially and negatively affects you, we will tell you at least 30 days in advance where reasonably possible. The charter company decides which boats and information it shares with you, and your access depends on its continued use of Sail Atlas.
13. Ending your access
By you. You can stop using the App at any time. To close your account, ask the charter company to remove your access or write to info@sailatlas.app from the email address of your account. We delete or anonymise your account data within 30 days. Information that the charter company holds about you and your boat stays in its records under its own retention rules.
By the charter company. The charter company can end your access at any time, for example when your management agreement ends. Ask the charter company for any reports you need before that happens.
By us. We may suspend or close your account or limit your access if you break these Terms or the law, if your use puts others or us at risk, if a law or authority requires it, or if the charter company’s Atlas Platform agreement ends. Where reasonable, we will tell you in advance and give our reasons.
Sections 10, 14, 15 and 18 survive the end of these Terms.
14. Disclaimers and liability
To the extent the law allows, the App is provided “as is”. We do not guarantee that the information the charter company enters is accurate, complete or up to date, or that the charter company will perform its obligations to you.
Nothing in these Terms excludes or limits our liability for intent or gross negligence, death or personal injury caused by our negligence, fraud, liability under mandatory product liability law, or any other liability that cannot be excluded by law, including the mandatory rights of consumers. Subject to that, and to the extent the law allows:
- we are not liable for the acts or omissions of the charter company, including errors in figures, reports, documents or payments, or the way it manages your boat;
- we are not liable for indirect loss, lost profits, lost income or lost opportunities, including decisions made on the basis of figures in the App;
- because the App is free, our total liability for all other claims in any 12-month period is limited to USD 100 (or its equivalent).
If you are a consumer in the EU or the UK, we are responsible for foreseeable loss caused by our breach of these Terms or our failure to use reasonable care and skill.
15. Consumer rights, governing law and disputes
Consumers and business users. Some owners hold their boat privately; others through a company or as part of a business. If the law of your country of residence treats you as a consumer, its mandatory consumer protections apply and nothing in these Terms limits them. In Türkiye, consumers may apply to the Consumer Arbitration Committees (Tüketici Hakem Heyetleri) within the limits set each year, or to the Consumer Courts (Tüketici Mahkemeleri), under Law No. 6502; mediation may be required before court for some claims. In the EU/EEA, you keep the protection of the mandatory law of your member state.
Governing law. These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-law rules. For consumers, this choice does not remove the protection of the mandatory law of their country of residence. Your management agreement remains governed by its own law.
Courts. Consumers may bring a claim in the courts of their place of residence, and we will bring claims against consumers only there. Business users agree to the state and federal courts in Bergen County, New Jersey, unless mandatory law provides otherwise.
There is no mandatory arbitration and no class-action waiver. Before going to court, please write to info@sailatlas.app; we aim to resolve complaints within 30 days. This does not limit your right to go to a court or authority.
16. Changes to these Terms
We will tell you about material changes in the App or by email at least 30 days before they take effect. Changes required by law or for security, or that only benefit you, may take effect sooner. If you do not agree, you can close your account before the change takes effect. If you keep using the App after that date, the new Terms apply, unless the law requires your express consent, in which case we will ask for it.
17. Privacy
The Atlas Owner Privacy Notice explains how personal data is processed in the App, including the role of the charter company. The charter company’s own privacy notice also applies to the information it holds about you.
18. General
- These Terms are the whole agreement between you and us about the App. If a provision is invalid, the rest stays in force.
- We may transfer this agreement in a merger or reorganisation if your rights are not reduced. You may not transfer your account.
- These Terms are available in English and Turkish. If the versions differ, the Turkish version applies to users in Türkiye and the English version to everyone else.
- If you downloaded the App from the Apple App Store or Google Play, these Terms are between you and Sail Atlas, not Apple or Google, which are not responsible for the App or its support. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
